1. The non-profit association adopts the name LOFF - LEAVE ONLY FRIENDS & FOOTPRINTS - ASSOCIAÇÃO, and is headquartered at Rua Sacadura Cabral, number 315 C, 5° A, S. Pedro do Estoril, parish of Cascais and Estoril , municipality of Cascais and is constituted for an indefinite period.

2. The association has the corporate number :515 154 644 and the social security identification number 251 515 464 46.
 

Article 1

Name, headquarters and duration

1. The non-profit association adopts the name LOFF - LEA VE ONLY FRIENDS AND FOOTPRINTS - ASSOCIATION; and is headquartered at Rua Sacadura Cabral, number 315 C, 5° A, S. Pedro do Estoril, parish of Cascais and Estoril, municipality of Cascais and is constituted for an indefinite period.

Article 2

End

​

The purpose of the association is to promote education, training and artistic creation, as well as practice in the field of theatre, cinema, dance, music, literature, photography, documentary, dramaturgy, visual arts, crafts and gastronomy, through the production, promotion and organization of content and recreational and cultural events. To promote and publicize the practice of sports among its members, in the areas of training, education, entertainment and recreation, and may also dedicate itself to the exploration and management of any type of indoor or outdoor sports facilities and the organization and promotion of sporting events , cultural, artistic animation activities. ​

Article 3

Revenue

​

a) the product of the contributions fixed by the general meeting;

b) income from the association's own assets and income from activities

c) the liberalities accepted by the association;

d) the subsidies attributed to it.

Article 4

1. The association's bodies are the general meeting, the management and the supervisory board.

2. The term of office of the holders of the governing bodies is 4 year(s).
 

Article 5

1. The general assembly is made up of all associates in full enjoyment of their rights.

2. The competence of the general meeting and the form of its functioning are those established in the Civil Code, namely in article 170 and in articles 172 to 179.

3. The board of the general meeting is composed of three associates, a president and two secretaries, being responsible for directing the meetings of the assembly and drawing up the respective minutes.

  1. The board elected at the general meeting is composed of 3 members


 

  1. The board is responsible for the social, administrative and financial management of the association, representing the association in and out of court.


 

  1. The way in which it operates is established in article 171 of the Civil Code.

  1. The association is bound by the intervention of a signature.


 

Article 7

Fiscal Council


 

  1. The supervisory board, elected at a general meeting, is composed of 3 associates.

  1. The supervisory board is responsible for supervising the administrative and financial acts of the management, inspecting its accounts and reports, and giving an opinion on acts that imply an increase in expenses or a decrease in revenues.

  1. The way in which it works is that established in article 171 of the Civil Code.

Article 8

admission and exclusion


 

The conditions of admission and exclusion of associates, their categories, rights and obligations, will be included in the regulation to be approved by the assembly

Article 9

Extinction. Destination of Goods.


Once the association is extinguished, the destination of the assets that make up the social heritage, which are not affected for a specific purpose and which have not been donated or left with any charge, will be the object of deliberation of the associates.
